1. Introduction and Acceptance

These Terms of Service ("Terms") govern your use of hire.stlucia.studio ("Hire", "Platform", "Service"), operated by St. Lucia Studio Ltd ("Company", "we", "us", "our"), with registered offices in Castries, Saint Lucia.

By creating an employer account, posting a job, subscribing to a paid plan, or accessing any features, you ("Employer", "you") agree to be bound by these Terms, our Privacy Policy, and, where applicable, our Data Processing Agreement.

If you are creating an account on behalf of a company or organisation, you represent and warrant that you have authority to bind that entity to these Terms. In that case, "you" refers to the entity.

2. The Service

2.1 What Hire Provides

Hire is an employer-facing applicant tracking and recruitment platform that allows employers to:

  • Create and manage a company profile
  • Post job listings for positions in or connected to Saint Lucia
  • Receive and manage applications through a pipeline (Applied, Screen, Interview, Offer, Hired)
  • Search candidate profiles from the connected Talent platform (talent.stlucia.studio)
  • Schedule interviews, collaborate with team members, and view hiring analytics

2.2 Relationship to Talent Platform

Hire draws candidate data from talent.stlucia.studio, where individuals voluntarily create professional profiles including skills, experience, education, and optional video resumes. By using Hire, you acknowledge that candidate data originates from the Talent platform and is subject to both these Terms and the Talent platform's own terms and privacy notices.

2.3 No Employment Relationship

We are a technology platform, not a recruitment agency. We do not guarantee the suitability, qualifications, or availability of any candidate. All hiring decisions are yours alone. No employment, agency, or partnership relationship is created between you and us by your use of the Platform.

3. Account Creation and Eligibility

3.1 Eligibility

You must be at least 18 years of age and have legal authority to hire employees or engage contractors. The Platform is intended for legitimate employers, staffing agencies, and recruitment firms operating in or hiring for positions in Saint Lucia and the Eastern Caribbean.

3.2 Account Registration

You agree to provide accurate, complete, and current information during registration. You must maintain the confidentiality of your login credentials and are responsible for all activity under your account. Notify us immediately at security@stlucia.studio of any unauthorised access.

3.3 Verification

We reserve the right to verify employer identity and legitimacy before activating accounts or approving job postings. We may request company registration documents, trade licences, or other proof of lawful operation. Accounts that cannot be verified may be suspended.

3.4 Team Accounts

Pro and Enterprise plans allow multiple team members ("Authorised Users") under a single employer account. The account holder is responsible for all activity by Authorised Users. Remove user access promptly when a team member leaves your organisation.

4. Job Posting Rules

4.1 Permitted Postings

Job postings must:

  • Describe a genuine, current employment or contract opportunity
  • Accurately represent the role, responsibilities, compensation range, and location
  • Be posted by or on behalf of the actual hiring organisation
  • Comply with the laws of Saint Lucia, including the Labour Act (Cap. 16.03), the Equal Opportunity Act (No. 7 of 2000), and applicable OECS employment legislation
  • Include compensation in EC$ (with optional US$ equivalent at EC$2.70 = US$1.00 peg)

4.2 Prohibited Content

You must NOT post listings that:

  • Discriminate on the basis of race, colour, sex, gender, age, disability, religion, national origin, marital status, pregnancy, sexual orientation, or political opinion
  • Require payment from applicants as a condition of employment or application
  • Advertise multi-level marketing, pyramid schemes, or "business opportunities" misrepresented as employment
  • Involve illegal activities or violate any applicable law
  • Contain false, misleading, or deceptive information about the role, compensation, or employer
  • Are posted for the purpose of collecting personal data without genuine hiring intent
  • Offer unpaid internships that do not comply with Saint Lucia labour law

4.3 Removal and Enforcement

We may remove, edit, or reject any job posting at our sole discretion, with or without notice, if we determine it violates these Terms or applicable law. Repeated violations may result in account suspension or termination. Removal does not entitle you to a refund.

5. Candidate Data — Your Obligations

5.1 Data Controller Status

When you access, view, download, or otherwise process candidate profiles or personal data from Hire or the connected Talent platform, you act as an independent Data Controller under the General Data Protection Regulation (EU) 2016/679 ("GDPR"), the Saint Lucia Data Protection Act, and any other applicable data protection legislation.

We act as Data Processor when processing candidate data on your behalf to operate the Platform's matching, search, and communication features.

5.2 Permitted Use

You may use candidate data solely for evaluating candidates for genuine employment or contracting opportunities. Specifically, you may:

  • Review candidate profiles, skills, experience, and education
  • View video resumes for the purpose of candidate assessment
  • Contact candidates about specific roles they may be suitable for
  • Store candidate data in your own ATS or HR systems for the duration of the relevant hiring process

5.3 Prohibited Use

You must NOT:

  • Use candidate data for marketing, advertising, or any purpose unrelated to hiring
  • Sell, resell, sublicense, or share candidate data with third parties without the candidate's prior written consent
  • Retain candidate data beyond 12 months from last active use, unless the candidate is hired or provides explicit consent to longer retention
  • Download, screen-record, redistribute, or create derivative works from video resumes
  • Use automated tools (including AI systems) to analyse video resumes for biometric data, emotional states, or protected characteristics
  • Attempt to re-identify anonymised or aggregated data

5.4 Data Security

You must implement appropriate technical and organisational measures to protect candidate data, including encryption at rest and in transit, access controls, and staff training. You must notify us at dpo@stlucia.studio within 48 hours of discovering any personal data breach affecting candidate data sourced from the Platform.

5.5 Data Subject Requests

If a candidate exercises their data rights (access, erasure, rectification, restriction, portability) directly with you regarding data sourced from the Platform, you must respond within the statutory timeframe (30 days under GDPR, 30 days under the Saint Lucia DPA). Notify us at dpo@stlucia.studio of any such request.

6. Content Ownership and Licensing

6.1 Our Content

The Platform, including its design, software, branding, documentation, and editorial content, is owned by St. Lucia Studio Ltd and protected by copyright and intellectual property laws.

6.2 Your Content

You retain ownership of job postings, company profiles, and other content you submit ("Employer Content"). By submitting Employer Content, you grant us a non-exclusive, worldwide, royalty-free licence to host, display, and distribute that content for the purpose of operating the Platform.

6.3 Candidate Content

Candidate profiles, video resumes, and related content belong to the candidates. Your right to view and use candidate content is limited to the purposes described in Section 5.2. You do not acquire any ownership or intellectual property rights in candidate content.

6.4 Feedback

If you provide feedback, suggestions, or ideas about the Platform, you grant us an unrestricted, perpetual, royalty-free licence to use that feedback for any purpose without obligation to you.

7. Subscription and Billing

7.1 Plans

Prices are stated in Eastern Caribbean Dollars (EC$) and US Dollar equivalents at the fixed peg of EC$2.70 = US$1.00.

7.2 Billing and Renewal

Subscriptions are billed monthly in advance. Your subscription renews automatically on the same calendar date each month unless cancelled.

7.3 Payment Processing

Payments are processed by Stripe, Inc., a PCI-DSS Level 1 certified payment processor. Your payment card details are transmitted directly to Stripe's secure environment and are never stored on our servers.

7.4 Cancellation

You may cancel at any time through your account settings or by emailing billing@stlucia.studio. Cancellation takes effect at the end of the current billing period. After cancellation, active job postings above the Free tier limit will be paused.

7.5 Refunds

Subscription fees are generally non-refundable. Exceptions: duplicate charges, charges after confirmed cancellation, and service outages exceeding 72 hours (pro-rata credit). Contact billing@stlucia.studio within 14 days of the charge.

7.6 Price Changes

We will give at least 30 days' email notice of any price change. Continued use after the new price takes effect constitutes acceptance.

7.7 Failed Payments

If payment fails, we will notify you and attempt to recharge within 5 business days. If payment remains unsuccessful after 10 days, your account will be downgraded to Free.

8. Prohibited Uses

In addition to Sections 4 and 5, you must not:

  • Reverse-engineer, decompile, or disassemble any part of the Platform
  • Scrape, crawl, or harvest data from the Platform except through authorised API access
  • Use automated tools to interact with the Platform in a way that places undue load on our infrastructure
  • Attempt to gain unauthorised access to other accounts, our systems, or non-public data
  • Impersonate another person or entity
  • Use the Platform for any purpose that is illegal under the laws of Saint Lucia or your jurisdiction

9. Liability and Disclaimers

9.1 "As Is" Service

The Platform is provided on an "as is" and "as available" basis. We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

9.2 Candidate Quality

We do not verify the accuracy, completeness, or truthfulness of candidate profiles or video resumes. We make no representation that any candidate is qualified, suitable, or available for your requirements. You are solely responsible for all hiring decisions and due diligence.

9.3 Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability to you shall not exceed the subscription fees you paid to us in the three (3) months immediately preceding the event giving rise to the claim. We are not liable for any indirect, consequential, special, punitive, or incidental damages.

9.4 Indemnification

You agree to indemnify and hold harmless St. Lucia Studio Ltd, its directors, officers, employees, and agents from any claims, damages, losses, or expenses arising from: (a) your use of the Platform; (b) your job postings; (c) your violation of these Terms; (d) your handling of candidate data; (e) any claim by a candidate or third party relating to your hiring practices.

10. Termination

10.1 Termination by Us

We may suspend or terminate your account with immediate effect if you: (a) materially breach these Terms; (b) post discriminatory, fraudulent, or illegal job listings; (c) misuse candidate data; (d) fail to pay applicable fees; or (e) engage in conduct that damages the Platform or its users.

10.2 Termination by You

You may terminate your account at any time by contacting us or through your account settings.

10.3 Effect of Termination

Upon termination: your access ceases, active job postings are removed, your account data is retained for 90 days then deleted, and you must delete all candidate data obtained through the Platform within 30 days (unless retention is required by law or the candidate has been hired).

10.4 Survival

Sections 5 (Candidate Data), 6 (Content Ownership), 9 (Liability), and this Section 10 survive termination.

11. Dispute Resolution

11.1 Good Faith Resolution

Contact us at legal@stlucia.studio with any complaint. We aim to resolve disputes informally within 30 days.

11.2 Governing Law

These Terms are governed by and construed in accordance with the laws of Saint Lucia. Any dispute that cannot be resolved informally shall be submitted to the exclusive jurisdiction of the courts of Saint Lucia.

11.3 Individual Claims

You agree to resolve disputes with us on an individual basis. You waive any right to participate in a class action or representative proceeding.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email at least 14 days before they take effect. Continued use of the Platform after the effective date constitutes acceptance.

13. General Provisions

  • Entire Agreement: These Terms, our Privacy Policy, DPA (where applicable), and any order form constitute the entire agreement between you and us.
  • Severability: If any provision is found unenforceable, the remaining provisions continue in full force and effect.
  • Waiver: Our failure to enforce any provision is not a waiver of our right to do so in the future.
  • Assignment: You may not assign your rights under these Terms without our prior written consent.
  • Force Majeure: We are not liable for delays or failures caused by events beyond our reasonable control.
  • Notices: Notices to you will be sent to the email address on your account. Notices to us: legal@stlucia.studio.
